This Registration Statement is being filed by ZIOPHARM Oncology, Inc. (the registrant) for the purpose of registering additional securities of the same class as other securities for which registration statements filed on Form S-8 relating to the ZIOPHARM Oncology, Inc. 2012 Equity Incentive Plan (the 2012 Plan) are already effective.
